Administrator Terms and Conditions

These terms apply specifically to individuals granted administrator access on the PalletFlow platform. They supplement the general User Terms and Conditions and impose additional obligations commensurate with the elevated level of access granted. Please read them carefully before exercising any administrative function.
1. Scope and Acceptance
These Administrator Terms and Conditions ("Admin Terms") govern the access to and use of the PalletFlow platform ("Platform") by individuals designated as administrators ("Administrator", "you", or "your") by PalletFlow Ltd. ("Company", "we", "us", or "our").
By accepting an administrator role, accessing the administrative interface, or performing any administrative function on the Platform, you agree to be legally bound by these Admin Terms in addition to the general User Terms and Conditions. In the event of any conflict between these Admin Terms and the general User Terms, these Admin Terms shall prevail with respect to administrative functions.
Administrator access is granted solely at the discretion of the Company and may be revoked at any time without prior notice.
2. Administrator Role and Authorisation
2.1 An Administrator is a trusted individual authorised by the Company to manage platform operations on its behalf. Administrative privileges are personal, non-transferable, and strictly limited to the scope of duties assigned by the Company.
2.2 By accepting the Administrator role, you represent and warrant that:
(a) you are at least 18 years of age and legally capable of entering into binding agreements;
(b) you are acting within the scope of your employment or contractual engagement with the Company or the entity that has authorised your administrative access;
(c) you have been duly authorised by the Company or your organisation to undertake the administrative functions assigned to you;
(d) all information you provide in connection with your administrator account is accurate, complete, and up to date.
3. Administrator Responsibilities and Duties
3.1 Administrators are responsible for the day-to-day management of the Platform, which may include but is not limited to: user account management, product and inventory management, order processing and fulfilment oversight, pricing configuration, promotional management, and content moderation.
3.2 Administrators must exercise all administrative functions with the utmost care, diligence, and in the best interests of the Company and its users. You must not make changes to the Platform that you are not expressly authorised to make.
3.3 Administrators are responsible for ensuring that all actions taken through the administrative interface comply with applicable laws and regulations, including but not limited to data protection law, consumer protection legislation, and e-commerce regulations.
3.4 Any significant change to platform configuration, pricing structures, or user data must be documented and, where applicable, approved by the appropriate authority within your organisation prior to implementation.
4. User Data and Privacy Obligations
4.1 In the course of your administrative duties, you will have access to personal data relating to platform users, including but not limited to names, contact details, order history, and payment information ("User Data"). You acknowledge that such access carries significant legal and ethical responsibilities.
4.2 You must process User Data strictly in accordance with: (a) the Company's Privacy Policy and internal data handling procedures; (b) all applicable data protection and privacy legislation, including the General Data Protection Regulation (GDPR) and any national implementing legislation.
4.3 You must not:
(a) access User Data beyond the scope strictly necessary for the performance of your administrative duties;
(b) disclose, share, copy, or transfer User Data to any unauthorised third party;
(c) use User Data for any personal purpose or for any purpose not expressly authorised by the Company;
(d) retain User Data beyond the period required to fulfil your administrative function.
4.4 Any actual or suspected data breach, unauthorised access, or loss of User Data must be reported to the Company's designated data protection contact immediately and in any event within 24 hours of becoming aware of the incident.
5. Account Security and Access Controls
5.1 You are solely responsible for maintaining the security and confidentiality of your administrator credentials. You must:
(a) use a strong, unique password and update it regularly;
(b) enable multi-factor authentication where supported and required;
(c) never share your credentials with any other person, including colleagues;
(d) log out of the administrative interface when not in active use;
(e) ensure that no unauthorised person has access to any device from which you access the administrative interface.
5.2 You must notify the Company immediately at legal@palletflow.com if you become aware of or suspect any unauthorised access to your administrator account or any security vulnerability in the Platform.
5.3 The Company reserves the right to monitor administrator activity logs for security, compliance, and audit purposes. By accepting the Administrator role, you consent to such monitoring.
6. Prohibited Conduct
As an Administrator, you must not:
(a) access, modify, delete, or export any data beyond the scope of your authorised duties;
(b) create, modify, or delete administrator accounts without express authorisation;
(c) manipulate pricing, inventory, or order data for personal benefit or the benefit of any unauthorised third party;
(d) introduce malicious code, backdoors, or unauthorised software into the Platform;
(e) circumvent, disable, or interfere with any security, access control, or audit mechanism;
(f) use administrative access to engage in or facilitate any fraudulent, deceptive, or unlawful activity;
(g) disclose confidential information about the Platform's architecture, user base, or commercial arrangements to any unauthorised party;
(h) retain copies of proprietary data, source code, or User Data following cessation of your administrator role.
7. Confidentiality
7.1 In the course of your administrator role, you may have access to confidential information relating to the Company's business, technology, pricing strategies, user data, and commercial affairs ("Confidential Information"). You agree to:
(a) keep all Confidential Information strictly confidential;
(b) not disclose Confidential Information to any third party without the prior written consent of the Company;
(c) use Confidential Information only for the purpose of performing your authorised administrative duties.
7.2 Your confidentiality obligations survive the termination or expiry of your administrator access for a period of five (5) years, or indefinitely with respect to trade secrets and User Data.
7.3 This Clause does not apply to information that: (a) is or becomes publicly available through no fault of yours; (b) you are required to disclose by law or court order, provided you give the Company prompt prior written notice where legally permissible.
8. Intellectual Property
8.1 All intellectual property rights in the Platform, including its software, design, databases, and content, remain the exclusive property of PalletFlow Ltd. or its licensors. Nothing in these Admin Terms grants you any ownership right in the Platform or its content.
8.2 Any enhancements, customisations, or modifications to the Platform created by you in the course of your administrative duties shall be the sole and exclusive property of the Company. You hereby irrevocably assign to the Company all intellectual property rights in any such work product, to the extent not already vested in the Company by operation of law.
8.3 You must not reproduce, distribute, or use any part of the Platform's intellectual property outside the scope of your authorised administrative duties.
9. Liability and Indemnification
9.1 You acknowledge that errors or unauthorised actions taken through the administrative interface may cause significant harm to the Company, its users, and third parties. You agree to exercise all reasonable care in performing your administrative duties.
9.2 You shall indemnify, defend, and hold harmless PalletFlow Ltd., its affiliates, officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, fines, and expenses (including reasonable legal fees) arising from:
(a) your breach of these Admin Terms;
(b) your negligent, reckless, or wilful misuse of administrative access;
(c) your violation of any applicable law or regulation in connection with your administrative role;
(d) any unauthorised disclosure of User Data or Confidential Information by you.
9.3 Nothing in these Admin Terms limits your liability for fraud, wilful misconduct, or any liability that cannot be excluded by applicable law.
10. Suspension and Termination of Access
10.1 The Company may suspend or permanently revoke your administrator access at any time, with or without cause and without prior notice, including where:
(a) you breach any provision of these Admin Terms;
(b) your employment or contractual relationship with the authorising organisation ends;
(c) the Company has reasonable grounds to suspect misuse, security compromise, or fraudulent activity.
10.2 Upon termination or suspension of your administrator access, you must:
(a) immediately cease all administrative activities;
(b) return or permanently delete any Confidential Information or User Data in your possession;
(c) not attempt to access the Platform using any other account or by any other means.
10.3 Clauses 4, 7, 8, 9, and 11 of these Admin Terms shall survive termination of your administrator access.
11. Audit and Compliance
11.1 The Company reserves the right to audit your use of the administrative interface at any time for the purposes of security review, regulatory compliance, and quality assurance. Administrator activity logs are retained in accordance with the Company's data retention policy.
11.2 You agree to co-operate fully with any internal or external audit, investigation, or regulatory inquiry relating to your administrative activities, and to provide all information reasonably requested by the Company in connection with such inquiry.
11.3 In the event that the Company is required by law, regulation, or court order to disclose information relating to your administrator activity, it may do so without prior notice to you, to the extent permitted by applicable law.
12. Amendments
The Company reserves the right to amend these Admin Terms at any time. You will be notified of material changes by email or by a notice displayed within the administrative interface. Your continued exercise of administrator privileges following the effective date of any amendment constitutes your acceptance of the revised Admin Terms. It is your responsibility to review these Admin Terms periodically.
13. Governing Law and Dispute Resolution
These Admin Terms and any dispute or claim arising out of or in connection with them (including non-contractual disputes or claims) shall be governed by and construed in accordance with the laws of the jurisdiction in which PalletFlow Ltd. is incorporated. The parties irrevocably submit to the exclusive jurisdiction of the courts of that jurisdiction.
Before commencing any formal proceedings, the parties agree to attempt in good faith to resolve any dispute through direct negotiation for a period of 30 days from the date of written notice of the dispute.
14. General Provisions
14.1 Entire Agreement. These Admin Terms, together with the general User Terms and Conditions and the Company's Privacy Policy, constitute the entire agreement between you and the Company with respect to your administrator role and supersede all prior agreements and understandings.
14.2 Severability. If any provision of these Admin Terms is held invalid or unenforceable, it shall be modified to the minimum extent necessary or severed, without affecting the remaining provisions.
14.3 No Waiver. No failure or delay by the Company in exercising any right or remedy shall constitute a waiver of that right or remedy.
14.4 Independent Contractor. Nothing in these Admin Terms creates an employment relationship, partnership, or joint venture between you and the Company, unless such a relationship exists independently by virtue of a separate agreement.
