User Terms and Conditions

Please read these Terms and Conditions carefully before using the PalletFlow platform. These Terms govern your access to and use of our wholesale ordering services.
1. Acceptance of Terms
By registering for, accessing, or using the PalletFlow wholesale ordering platform (the "Platform"), you ("User", "you", or "your") agree to be legally bound by these Terms and Conditions ("Terms"). If you do not agree to all provisions herein, you must immediately discontinue use of the Platform.
These Terms constitute a legally binding agreement between you and PalletFlow Ltd. ("Company", "we", "us", or "our"). Your continued use of the Platform after any amendment to these Terms shall constitute your acceptance of the amended Terms.
2. Eligibility and Account Registration
2.1 The Platform is intended solely for use by businesses, sole traders, and other commercial entities ("Business Users"). By creating an account, you represent and warrant that:
(a) you are at least 18 years of age;
(b) you have full legal authority to enter into binding contracts on behalf of the entity you represent;
(c) the information you provide during registration is accurate, complete, and current.
2.2 You are solely responsible for maintaining the confidentiality of your login credentials and for all activities conducted through your account. You must notify us immediately at legal@palletflow.com upon becoming aware of any unauthorised access to or use of your account.
2.3 We reserve the right to suspend or terminate any account at our sole discretion, including where we reasonably suspect fraudulent activity, breach of these Terms, or misuse of the Platform.
3. Wholesale Ordering and Pricing
3.1 All orders placed through the Platform are wholesale orders subject to minimum order quantities ("MOQ") as displayed on the relevant product listing. Orders that do not meet the applicable MOQ will not be accepted.
3.2 All prices displayed on the Platform are exclusive of value-added tax ("VAT") and any applicable import duties or levies unless expressly stated otherwise. The applicable VAT and any other charges will be calculated and clearly presented at checkout prior to order confirmation.
3.3 Prices are subject to change without prior notice. The price applicable to your order is the price displayed at the time you submit your order. We reserve the right to correct manifest pricing errors; in such event, we will notify you and you may choose to proceed at the correct price or cancel the order.
3.4 Product availability is not guaranteed. We reserve the right to limit order quantities, discontinue products, or decline any order at our sole discretion, with notification to the User where practicable.
4. Payment Terms
4.1 Payment is due in full at the time of order placement unless a credit account has been expressly approved by us in writing. Approved credit account holders must settle all invoices within the agreed payment period (as specified in the credit agreement), failing which interest shall accrue on the outstanding balance at the statutory rate applicable under the Late Payment of Commercial Debts legislation.
4.2 We accept payment methods as indicated on the Platform. By providing payment details, you represent and warrant that you are authorised to use the payment method provided.
4.3 All transactions are processed in the currency displayed at checkout. Currency conversion charges, bank fees, or other third-party charges remain the sole responsibility of the User.
4.4 We reserve the right to place orders on hold or cancel confirmed orders in the event of payment failure, suspected fraud, or non-compliance with these Terms.
5. Delivery, Risk and Title
5.1 Estimated delivery timescales are provided for guidance only and do not constitute a contractual commitment. We shall not be liable for delays caused by circumstances beyond our reasonable control, including but not limited to carrier delays, customs clearance, force majeure events, or supply chain disruptions.
5.2 Risk in the goods passes to the User upon delivery to the address specified in the order. Title to the goods passes to the User only upon receipt of full payment.
5.3 The User is responsible for inspecting all goods promptly upon delivery. Any claims relating to damaged, missing, or incorrect goods must be notified to us in writing within 48 hours of delivery, failing which any such claim may be forfeited.
5.4 Delivery charges, if applicable, will be displayed at checkout. We reserve the right to amend delivery charges at any time.
6. Returns, Cancellations and Refunds
6.1 Orders may not be cancelled after submission except with our prior written consent, which we may grant or withhold at our sole discretion. Cancellations approved by us may be subject to a restocking or handling fee.
6.2 Returns are accepted only where: (a) goods are defective or materially non-conforming; (b) an incorrect product has been delivered; or (c) we have expressly agreed in writing to accept a return.
6.3 All authorised returns must be initiated by contacting our support team within the applicable notification period (see Clause 5.3). Goods must be returned in their original, unopened condition and packaging. The Company reserves the right to refuse returns that do not comply with these requirements.
6.4 Refunds for approved returns will be processed within 14 business days of our receipt and inspection of the returned goods, using the original payment method where practicable.
7. Intellectual Property
7.1 All content on the Platform, including but not limited to text, graphics, logos, product images, software, and data compilations, is the property of PalletFlow Ltd. or its licensors and is protected by applicable intellectual property laws.
7.2 You are granted a limited, non-exclusive, non-transferable, revocable licence to access and use the Platform solely for the purpose of placing wholesale orders in the ordinary course of your business. No other right or licence is granted.
7.3 You must not reproduce, redistribute, modify, reverse-engineer, create derivative works of, publicly display, or commercially exploit any content from the Platform without our prior written consent.
8. Prohibited Conduct
You agree not to:
(a) use the Platform for any unlawful purpose or in violation of any applicable law or regulation;
(b) resell access to the Platform or your account credentials;
(c) introduce viruses, malware, or any other harmful code;
(d) attempt to gain unauthorised access to any part of the Platform or its supporting systems;
(e) use automated tools (bots, scrapers, crawlers) to access or extract data from the Platform without our express written authorisation;
(f) engage in any conduct that could damage, disable, or impair the Platform or interfere with other users' use of it.
9. Limitation of Liability
9.1 To the fullest extent permitted by applicable law, the Company shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, loss of revenue, loss of data, or business interruption, arising from or related to your use of the Platform or the goods ordered through it.
9.2 Our aggregate liability to you for all claims arising under or in connection with these Terms shall not exceed the total amount paid by you to us in the three (3) months immediately preceding the event giving rise to the claim.
9.3 Nothing in these Terms shall limit or exclude our liability for death or personal injury caused by our negligence, fraud or fraudulent misrepresentation, or any other liability that cannot be excluded or limited by applicable law.
10. Indemnification
You agree to indemnify, defend, and hold harmless PalletFlow Ltd., its affiliates, officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, costs, and expenses (including reasonable legal fees) arising out of or in connection with: (a) your use of or access to the Platform; (b) your breach of these Terms; (c) your violation of any applicable law or regulation; or (d) any third-party claim arising from your use of goods purchased through the Platform.
11. Data Protection and Privacy
We process personal data collected through the Platform in accordance with our Privacy Policy, which is incorporated into these Terms by reference. By using the Platform, you acknowledge that you have read and understood our Privacy Policy. Where you provide us with personal data of third parties (e.g., delivery contacts), you warrant that you have the necessary authority or consent to do so.
12. Amendments
We reserve the right to modify these Terms at any time. Where changes are material, we will provide reasonable notice by email or by displaying a prominent notice on the Platform. Your continued use of the Platform after the effective date of any amendment constitutes your acceptance of the revised Terms. We recommend that you review these Terms periodically.
13. Governing Law and Dispute Resolution
These Terms and any dispute or claim arising out of or in connection with them (including non-contractual disputes or claims) shall be governed by and construed in accordance with the laws of the jurisdiction in which PalletFlow Ltd. is incorporated. The parties irrevocably submit to the exclusive jurisdiction of the courts of that jurisdiction.
Before commencing any formal proceedings, the parties agree to attempt to resolve any dispute in good faith through direct negotiation for a period of 30 days from the date of written notice of the dispute.
14. General Provisions
14.1 Entire Agreement. These Terms, together with our Privacy Policy and any order confirmation, constitute the entire agreement between you and the Company with respect to the Platform and supersede all prior agreements, representations, and understandings.
14.2 Severability. If any provision of these Terms is held to be invalid, illegal, or unenforceable, that provision shall be modified to the minimum extent necessary to make it enforceable, or severed if modification is not possible, without affecting the validity of the remaining provisions.
14.3 Waiver. No failure or delay by us in exercising any right or remedy shall constitute a waiver of that right or remedy.
14.4 Assignment. You may not assign or transfer any rights or obligations under these Terms without our prior written consent. We may assign our rights and obligations without restriction.
